IMPORTANT NOTE: To the extent this software may be used to reproduce materials, it is licensed to you only for reproduction of materials you are authorized or legally permitted to reproduce.

1. General

The software (including all content), documentation and any fonts accompanying this License whether on disk, in read only memory, on any other media or in any other form (collectively the "Scimonoce Software") are licensed, not sold, to you by Scimonoce Software LLC for use only under the terms of this License, and Scimonoce Software LLC reserves all rights not expressly granted to you. The rights granted herein are limited to Scimonoce Software LLC 's and its licensors’ intellectual property rights in the Scimonoce Software and do not include any other patents or intellectual property rights. You own the media on which the Scimonoce Software is recorded but Scimonoce Software LLC and/or Scimonoce Software LLC'S licensor(s) retain ownership of the Scimonoce Software itself. The terms of this License will govern any software upgrades provided by Scimonoce Software LLC that replace and/or supplement the original Scimonoce Software product, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern.

2. Permitted License Uses and Restrictions

A. Trial License

If your are using the trial version of the Scimonoce Software, this License allows you to install and use the Scimonoce Software on a single computer for the sole purpose of evaluating the Scimonoce Software. The trial version is valid until an upgrade that is accompanied by a separate license in which case the terms of that license will govern.

B. Single Use License

This License allows you to install and use one copy of the Scimonoce Software on a single computer at a time. This License does not allow the Scimonoce Software to exist on more than one computer at a time, and you may not make the Scimonoce Software available over a network where it could be used by multiple computers at the same time. You may make one copy of the Scimonoce Software in machine-readable form for backup purposes only; provided that the backup copy must include all copyright or other proprietary notices contained on the original.

C. Multi-User License

This License allows you to install and use one copy of the Scimonoce Software on up to a maximum of five (5) computers at a time as long as those computers are located in the same household and used by persons who occupy that same household. By "household" we mean a person or persons who share the same housing unit such as a home, apartment, mobile home, or condominium, but shall also extend to student members who are primary residents of that household but residing at a separate on-campus location. The Multi-User License does not extend to business or commercial users. You may not make the Scimonoce Software available over a network.

D. Restrictions

Except as and only to the extent permitted in this License and by applicable law, you may not copy, decompile, reverse engineer, disassemble, modify, or create derivative works of the Scimonoce Software or any part thereof. THE SCIMONOCE SOFTWARE IS NOT INTENDED FOR USE IN THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL SYSTEMS, LIFE SUPPORT MACHINES OR OTHER EQUIPMENT IN WHICH THE FAILURE OF THE SCIMONOCE SOFTWARE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.

3. Transfer

You may not rent, lease, lend, redistribute or sublicense the Scimonoce Software. You may, however, make a one-time permanent transfer of all of your license rights to the Scimonoce Software (in its original form as provided by Scimonoce Software LLC) to another party, provided that: (a) the transfer must include all of the Scimonoce Software, including all its component parts, original media, printed materials and this License; (b) you do not retain any copies of the Scimonoce Software, full or partial, including copies stored on a computer or other storage device; and (c) the party receiving the Scimonoce Software reads and agrees to accept the terms and conditions of this License. You may not rent, lease, lend, redistribute, sublicense or transfer any Scimonoce Software that has been modified or replaced under Section 2B above.

Updates:

If a Scimonoce Software update completely replaces (full install) a previously licensed version of the Scimonoce Software, you may not use both versions of the Scimonoce Software at the same time nor may you transfer them separately.

NFR (Not for Resale) Copies:

Notwithstanding other sections of this License, Scimonoce Software labeled or otherwise provided to you on a promotional basis may only be used for demonstration, testing and evaluation purposes and may not be resold or transferred.

4. Termination

This License is effective until terminated. Your rights under this License will terminate automatically without notice from Scimonoce Software LLC if you fail to comply with any term(s) of this License. Upon the termination of this License, you shall cease all use of the Scimonoce Software and destroy all copies, full or partial, of the Scimonoce Software.

5. Limited Warranty on Media

Scimonoce Software LLC warrants the media on which the Scimonoce Software is recorded and delivered by Scimonoce Software LLC to be free from defects in materials and workmanship under normal use for a period of ninety (90) days from the date of original retail purchase. Your exclusive remedy under this Section shall be, at Scimonoce Software LLC's option, a refund of the purchase price of the product containing the Scimonoce Software or replacement of the Scimonoce Software which is returned to Scimonoce Software LLC or an Scimonoce Software LLC authorized representative with a copy of the receipt. THIS LIMITED WARRANTY AND ANY IMPLIED WARRANTIES ON THE MEDIA INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OF SATISFACTORY QUALITY, AND OF FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF ORIGINAL RETAIL PURCHASE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. THE LIMITED WARRANTY SET FORTH HEREIN IS THE ONLY WARRANTY MADE TO YOU AND IS PROVIDED IN LIEU OF ANY OTHER WARRANTIES (IF ANY) CREATED BY ANY DOCUMENTATION, PACKAGING OR OTHERWISE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY BY JURISDICTION.

6. Privacy

For details about Scimonoce Software LLC's privacy policies, please refer to the Scimonoce Software LLC Privacy Statement contained either in the Scimonoce Software, or the privacy policy on the Scimonoce Software LLC website. You agree to be bound by the applicable Scimonoce Software LLC privacy policy, as it may be amended from time to time in accordance with its terms.

7. Feedback

For details about Scimonoce Software LLC's feedback policies, please refer to the Scimonoce Software LLC Privacy and Terms of Use Statements contained either in the Scimonoce Software, or the privacy policy and terms of use policy on the Scimonoce Software LLC website. You agree to be bound by both the applicable Scimonoce Software LLC privacy policy and terms of use policy, as they may be amended from time to time in accordance with its terms.

8. Disclaimer of Warranties

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SCIMONOCE SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. EXCEPT FOR THE LIMITED WARRANTY ON MEDIA SET FORTH ABOVE AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SCIMONOCE SOFTWARE IS PROVIDED "AS IS", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND SCIMONOCE SOFTWARE LLC AND SCIMONOCE SOFTWARE LLC’S LICENSORS (COLLECTIVELY REFERRED TO AS "SCIMONOCE SOFTWARE LLC" FOR THE PURPOSES OF SECTIONS 6 AND 7) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SCIMONOCE SOFTWARE, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. SCIMONOCE SOFTWARE LLC DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE SCIMONOCE SOFTWARE, THAT THE FUNCTIONS CONTAINED IN THE SCIMONOCE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SCIMONOCE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SCIMONOCE SOFTWARE WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SCIMONOCE SOFTWARE LLC OR AN SCIMONOCE SOFTWARE LLC AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE SCIMONOCE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL SCIMONOCE SOFTWARE LLC BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS OR INVESTMENT, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SCIMONOCE SOFTWARE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF SCIMONOCE SOFTWARE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Scimonoce Software LLC 's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount paid by the customer for the Scimonoce Software licensed from Scimonoce Software LLC or its authorized reseller. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

10. Online Services

All online financial services including Direct Connect, Online Banking, Online Investment Account Download, Online Payment, Online Bill Pay, WebConnect, Online Trading, and any other online financial services (collectively the "Online Services") available through the Internet and Scimonoce Software LLC products are provided by your financial institution or other third party and not by Scimonoce Software LLC. The Scimonoce Software is designed to allow you to access Online Services (if and to the extent provided by your financial institutions) to set up banking information, schedule the Scimonoce Software to access your account(s), download transactions into the Scimonoce Software and otherwise aggregate information from your account(s) with your financial institutions. You acknowledge and agree that Scimonoce Software LLC has no control over the provision of Online Services or provision of access to the Online Services by your financial institutions, does not guarantee that you will be able to use the Scimonoce Software with the Online Services, and will have no liability whatsoever for any actions or inactions on the part of the financial institutions resulting in your inability to use the Scimonoce Software to access your accounts, obtain data, download transactions, or otherwise use or access the Online Services. If you lose or forget your user name or password, it will be necessary for you to return to the appropriate financial institution if you have any problems with respect to that user name or password.

Access to Online Services can be through the optional use of the Apple's Keychain Services to store account information including financial institution account access number(s), password(s), security question(s) and answer(s), account number(s), login information, and any other security or access information. Apple's Keychain Services allows you to store your account information for multiple financial institutions in one place. Apple's Keychain Services provides cryptographic protection to your data, but factors such as a well- chosen password, physical security for your computer and proper safeguards when you use a network or the Internet are all important factors in the set of protections necessary to provide security for your data. Because most of these factors are beyond Scimonoce Software's control, you agree that Scimonoce Software is not liable for safeguarding your Apple Keychain Services data. By providing account information to us, you authorize us as required to access your account information from institutions and present it to you in the Software.

You agree in no event shall Scimonoce Software LLC be liable for any loss or damage of any sort due to use of any services provided by your financial institution or other third party software. Access to such online financial services may be limited due to services provided by your internet service provider, financial institution or other third party software. Your use of these Online Services may incur charges by your financial institution or other third party software, not Scimonoce Software LLC, and your financial institution or other third party software may have its own service agreement which will govern the Online Services they provide. You agree to be responsible for all charges related with Internet and Online usage. You may be required to agree to additional terms and conditions due to use of Online Services. Scimonoce Software LLC reserves the right to change any and all Online Services.

11. Investment Products, Features and Services

Scimonoce Software LLC products may contain financial information, financial planning and/or other investment features. Scimonoce Software LLC has no control over your use or inability to use the Scimonoce Software and related services or financial information. Neither Scimonoce Software LLC or its Representatives warrant the performance or results provided by the Scimonoce Software. Scimonoce Software LLC does not guarantee the timeliness or accuracy of the data contained in the Scimonoce Software or any of its printed materials. Scimonoce Software LLC and its Representatives shall not be liable to you or any third party for the untimeliness or delay in the data, reporting of the data, or corrections of the data contained in the Scimonoce Software or its printed materials. The Scimonoce Software should not be used without confirming data, research, and separate analysis performed by the user of his or her own investment situation. Information in the Scimonoce Software changes constantly and may or may not be up to date or accurate. Scimonoce Software LLC or its Representatives cannot guarantee or represent that past investment performance can predict future investment performance nor does Scimonoce Software LLC guarantee that the Scimonoce Software will predict the future performance of investments or any securities of any kind. Scimonoce Software does not recommend or endorse any particular investment or any security of any kind nor does the Scimonoce Software recommend, endorse or offer custom investment, tax, or legal advice and/or strategies. Prior to any investing you should consult professional advice from an accountant, attorney, broker, and/or other investment advisor.

12. Export Law Assurances

You may not use or otherwise export or reexport the Scimonoce Software except as authorized by United States law and the laws of the jurisdiction in which the Scimonoce Software was obtained. In particular, but without limitation, the Scimonoce Software may not be exported or re-exported (a) into (or to a national or resident of) any U.S. embargoed countries (currently Cuba, Iran, Iraq, Libya, North Korea, Sudan, and Syria) or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Scimonoce Software, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list.

13. Government End Users

The Scimonoce Software and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. 14. Controlling Law and Severability

This License will be governed by and construed in accordance with the laws of the State of Illinois, as applied to agreements entered into and to be performed entirely within Illinois between Illinois residents. This License shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.

15. Complete Agreement; Governing Language

This License constitutes the entire agreement between the parties with respect to the use of the Scimonoce Software licensed hereunder and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by Scimonoce Software LLC. Any translation of this License is done for local requirements and in the event of a dispute between the English and any non-English versions, the English version of this License shall govern.

16. Third Party Acknowledgements

Portions of the Scimonoce Software utilize or include third party software and other copyrighted material. Acknowledgements, licensing terms and disclaimers for such material are contained in the "online" electronic documentation for the Scimonoce Software, and your use of such material is governed by their respective terms.
